What You'll Do
As Lead of Epic's Commercial Contract Group (''CCG''), you will be responsible for continuously updating and maintaining Epic's contract management program. Working with a cross functional group of stakeholders (including Legal Counsel, Procurement, Finance, Risk Management and Epic business partners), you will ensure Epic's entire commercial contract lifecycle process is effective and efficient. You will also be responsible for managing CCG's internal attorneys and contract specialists and overseeing CCG's outside counsel.
In this role, you will
• Manage and lead Epic's commercial contracts group, which includes direct daily management of internal CCG counsel and contract specialists and ensuring the coordination and cohesion between such team leads.
• Oversee outside counsel who assist with Epic's commercial contracts, including without limitation, budgeting, negotiating and scoping the terms of such engagement.
• Act as a point of escalation for CCG internal counsel, specialists and outside counsel with respect to drafting, reviewing, negotiating and managing a wide variety of commercial contracts, including without limitation, vendor agreements, NDAs, IT agreements, DPAs, HR Agreements, Sweepstakes/Contests forms and various other legal documents.
• Be accountable for shepherding a large volume of complex contracts and/or projects throughout their full life cycle (including without limitation, coordination with internal procurement teams and all internal and external contracting parties during the contract development, negotiation, signature and retention stages); responsible for responding to stakeholder requests with respect to such.
• Ensure Epic's commercial contract templates and contracting processes comply with worldwide laws, regulations and Epic internal standards/policies; continuously improve and update such in coordination with Epic counsel.
• With cross-functional stakeholders, develop and implement best practices for contract management, including the use of efficient contract management guidelines and fallback terms/clauses.
• Work with Epic's Legal Operations team to evaluate and improve software and tooling for contract management.
• Partner and build relationships with business partners to forecast their recurring contract needs and anticipate and plan for large or unusual contracting needs.
• Act as the main point of contact for internal business partners regarding daily questions about contract substance, contract renewal and contract termination.
What we're looking for
• Attorney or paralegal with 6+ years of relevant work experience.
• Significant experience with program or project management, including defining program strategy and defining metrics.
• Experience reviewing, drafting and negotiating a large volume of complex contracts.
• Excellent communication skills.
• Strong organizational skills and attention to detail.
• Comfort operating in a fast-paced/dynamic environment; energized by complex challenges.
• Experience working successfully in a global environment.
• Experience in the tech or gaming industry is a plus.
